1. Agreement to Terms

By accessing or using ChatGent ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

2. Use License

Permission is granted to temporarily use ChatGent for personal or commercial purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or for any public display (commercial or non-commercial) without explicit permission
  • Attempt to reverse engineer any software contained in the Service
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

This license shall automatically terminate if you violate any of these restrictions and may be terminated by ChatGent at any time.

3. Account Registration

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and identification
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for safeguarding the password and for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit any malicious code, viruses, or harmful data
  • Spam, harass, or abuse other users
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service for any illegal or unauthorized purpose
  • Create bots that promote hate speech, violence, or illegal activities

5. Subscription and Payment

5.1 Subscription Plans

ChatGent offers various subscription plans. By subscribing, you agree to pay the fees associated with your chosen plan.

5.2 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). All fees are non-refundable except as required by law.

5.3 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the price change constitutes acceptance of the new pricing.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by ChatGent and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you create using the Service (including bot configurations and conversations). By using the Service, you grant ChatGent a license to use, store, and process your content solely for the purpose of providing the Service.

7. User Content

You are responsible for all content you create, upload, or transmit through the Service ("User Content"). You represent and warrant that:

  • You own or have the necessary rights to use and authorize the use of your User Content
  • Your User Content does not violate any third-party rights
  • Your User Content complies with all applicable laws and regulations

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

8. Service Availability

We strive to provide a reliable service but do not guarantee that the Service will be available at all times. The Service may be unavailable due to:

  • Scheduled maintenance
  • Unscheduled maintenance or repairs
  • Technical failures
  • Force majeure events

We are not liable for any loss or damage resulting from Service unavailability.

9. Limitation of Liability

To the maximum extent permitted by law, ChatGent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service

10. Indemnification

You agree to defend, indemnify, and hold harmless ChatGent and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right
  • Any User Content you create or transmit

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law
